ByOrientals ("we", "us", "our") operates the website www.byorientals.co.uk (the "Site"). These terms and conditions govern the use of ByOrientals' Website.
Article 1: Definitions
- ByOrientals, referred to as "seller," is located in the United Kingdom.
- The counterparty of the seller is referred to as "buyer."
- Together, the seller and buyer are referred to as the parties.
- The agreement refers to the sales contract between both parties.
Article 2: Applicability of Terms and Conditions
- These conditions apply to all quotes, offers, agreements, and deliveries of services or goods by or on behalf of the seller.
- Any deviations from these conditions must be agreed upon in writing by both parties.
Article 3: Payment
- The full purchase price is typically paid immediately on the website. Advance payments may be required for reservations, with the buyer receiving confirmation of the reservation and the advance payment.
- Late payments will result in the buyer being in default, entitling the seller to suspend obligations until the payment is made.
- Collection costs due to non-payment will be charged to the buyer as per the UK regulation on compensation for extrajudicial collection costs.
- In events such as liquidation, bankruptcy, or suspension of payment by the buyer, the seller’s claims become immediately due and payable.
Article 4: Offers, Quotes, and Prices
- Offers are non-binding unless a term for acceptance is specified. Offers expire if not accepted within the specified term.
- Delivery times in quotes are indicative and do not entitle the buyer to cancellation or compensation unless otherwise explicitly agreed in writing.
- Prices in offers and quotes include VAT and any other government levies.
Article 5: Right of Withdrawal
- Consumers can cancel the agreement within 14 days of receipt without reason, as per the Consumer Contracts Regulations.
- The right of return does not apply to custom-made products.
- The seller provides a return form upon request, which the consumer must use for returns.
- Products must be returned unused, undamaged, and with all accessories in the original packaging, if reasonably possible.
Article 6: Delivery and Transfer of Risk
- The risk transfers from seller to buyer upon delivery of the item to the buyer.
Article 7: Inspection and Complaints
- The buyer must inspect the goods upon delivery to ensure quality and quantity meet the agreed standards.
- Complaints about defects or discrepancies must be reported to the seller in writing within 14 days of delivery.
- Valid complaints within this period may lead to repair, replacement, or credit for the item from the seller.
Article 8: Force Majeure
- Force majeure includes circumstances beyond the seller’s control that prevent contractual obligations from being fulfilled.
- During force majeure, the seller’s obligations are suspended, and both parties may terminate the agreement if the situation persists for more than two months without obligations for damages.
Article 9: Changes to Terms
- The seller may amend these terms and conditions. Changes also apply to existing agreements after 30 days from written notification of the change.
- If changes are unacceptable, the buyer may terminate the agreement effective from the date the new terms apply.
